The Officer Duty

The Duty a CFO Carries Personally.

Two duties land on you as a formal officer: care and diligence under the Corporations Act, and due diligence under section 27 of the WHS Act. Your finance team is not exempt because your safety team owns the paperwork.

To verify the provision and use of the resources and processes referred to in paragraphs (c) to (e).
Work Health and Safety Act 2011, section 27(5)(f), the model Act text replicated across the harmonised jurisdictions. Corroborated against citing sources, not read directly off the statute; access failures logged 12 September 2026.

The WHS Act’s definition of officer borrows the Corporations Act’s. A CFO holds a formal office under it, without needing the extended test the High Court used to catch people with no formal title, so wherever the employer is a PCBU, true of almost every company, section 27 falls on you personally.
